General terms and conditions of business
1. Scope of Application
1.1 These General Terms and Conditions apply to all sales of frequency converters by [Rapha Systems Handels GmbH] to customers.
2. Conclusion of Contract
2.1 The order of a frequency converter by the customer constitutes a binding offer for the conclusion of a written confirmation or a confirmed offer.
2.2 The contract is only concluded when [Rapha Systems Handels GmbH] confirms the customer’s order in writing or when the delivery of the frequency converter takes place.
3. Prices and Payment Terms
3.1 The prices for the frequency converters are specified in the current price list of [Rapha Systems Handels GmbH] and are exclusive of statutory VAT.
3.2 Payments are to be made promptly upon receipt of the pro forma invoice, unless otherwise agreed.
3.3 In case of payment default of 30 days, [Rapha Systems Handels GmbH] is entitled to demand default interest of 5% above the applicable base interest rate of the European Central Bank.
4. Delivery and Shipping
4.1 The delivery of the frequency converters takes place from the warehouse of [Rapha Systems Handels GmbH] to the delivery address provided by the customer, unless otherwise agreed.
4.2 Shipping costs are to be borne by the customer unless otherwise agreed.
4.3 Delivery deadlines are non-binding unless a binding delivery deadline has been expressly agreed upon. We assume no liability and will not incur any costs for any delivery delays caused by the shipping company.
4.4 The buyer bears the costs for returns within 14 days.
5. Warranty and Liability
5.1 [Rapha Systems Handels GmbH] warrants that the delivered frequency converters (both used and new) are free from material and legal defects at the time of delivery.
5.2 The warranty period for used devices is 14 days from delivery; thereafter, the item cannot be returned. This also applies to new devices that are not purchased directly from the manufacturer (stock items from Rapha). If the customer requests a return within 14 days because the item does not meet their expectations, a flat fee of 15% will be deducted from the credit note (handling fee). The warranty period for new devices (ex works) is 18 months from the delivery date, unless different conditions have been agreed in the offer.
5.3 In the event of a defect within the warranty periods, the customer has the right to subsequent performance in the form of defect remediation, replacement delivery, or credit. If subsequent performance fails, the customer may withdraw from the contract or reduce the purchase price.
5.4 The liability of [Rapha Systems Handels GmbH] is limited to intent and gross negligence in any case. Liability for damages resulting from injury to life, body, or health is also excluded.
5.5 No warranty is provided for damages caused by improper handling or storage, improper maintenance, disregard of operating and maintenance instructions, overloading, normal wear and tear, or unusual operating conditions.
6. Scope of Services
6.1 [Rapha Systems Handels GmbH] does not provide information or support for the commissioning of the sold devices or similar cases. Support is limited solely to the sale and provision of the devices.
For frequency converters from a current series, manufacturer support can be accessed. There is no longer any support available for discontinued models.
7. Retention of Title
7.1 The delivered frequency converters remain the property of [Rapha Systems Handels GmbH] until full payment of the purchase price is made.
8. Final Provisions
8.1 Changes or additions to these Terms and Conditions must be made in writing.
